Wynn Resorts plans to appoint three women to the board as it seeks to refresh its corporate structure in the wake of accusations it ignored the alleged sexual misconduct of its former chairman and CEO, Steve Wynn.<\/p>\n

The nominees must be approved by shareholders at the company\u2019s AGM next month.<\/p>\n

Wynn Resorts said the appointments of Betsy Atkins, Dee Dee Myers and Wendy Webb would mean four of its 11-member board were women. The Wynn board has been criticized in the past for its underrepresentation of women,\u00a0an accusation that rang louder after the revelations about Wynn\u2019s alleged behavior.<\/p>\n

A Wall Street Journal<\/em> article in January accused the casino mogul of engaging in a \u201cdecades-long pattern of sexual misconduct\u201d towards his female staff members.<\/p>\n

\u2018Refreshing\u2019 the Wynn Resorts Board<\/strong><\/h2>\n

\u201cThis is the first step in our effort to refresh the Board,\u201d said Wynn Resorts chairman D. Boone Wayson. \u201cWe intend to add additional new directors in the coming months. The Board is committed to enhancing value for our shareholders, delivering superior experiences for customers and creating a supportive and inclusive environment for all of the company\u2019s employees.\u201d<\/p>\n

Atkins is a venture capitalist and expert in corporate governance who has serves on the boards of\u00a0Cognizant,\u00a0HD Supply,\u00a0SL Green Realty Corp,\u00a0Schneider Electric\u00a0and\u00a0Volvo Car Corporation.\u00a0 Myers, a political analyst and author who served as White House press secretary during the Clinton administration, is the head of corporate communications at Warner Brothers. Meanwhile, Webb is the former investor-relations chief at\u00a0Walt Disney Co and currently a director of ABM Industries.<\/p>\n

Elaine Wynn Demands Change <\/strong><\/h2>\n

The nominations come just days after Elaine Wynn demanded sweeping changes<\/a> to the corporate governance at Wynn Resorts and a \u201creconstitution\u201d of the board in order to \u201crestore the company\u2019s reputation.\u201d Wynn became the company\u2019s majority shareholder when her ex-husband sold his entire stake<\/a> last month in a bid to safeguard the company\u2019s gaming licenses.<\/p>\n

“I believe that the company\u2019s governance structure needs to be reformed and that the board of directors needs to be reconstituted,\u201d she wrote in a letter to directors. \u201cThis should be done immediately and certainly before any material decisions are made that could affect the long-term interests of the shareholders.\u201d<\/strong><\/p><\/blockquote>\n

Wynn CEO Matt Maddox said the changes to the board represent \u201cmeaningful change\u201d for the company.<\/p>\n
